Deliverables, timelines, revisions, pricing, and responsibilities are defined in the relevant written scope or proposal.
3. Client Responsibilities
- Provide accurate business, brand, access, content, and project information on time.
- Review work, share feedback, and approve milestones within agreed timelines.
- Ensure that any materials supplied by you do not violate third-party rights.
- Maintain backups and credentials for third-party platforms unless support terms say otherwise.
4. Payments & Project Holds
Payments are due according to the invoice, proposal, or milestone schedule. Work may be paused for delayed payments, delayed feedback, missing access, or major scope changes. New requirements outside the approved scope may require a revised quote.
5. Intellectual Property
After full payment, custom project deliverables created specifically for the client may be transferred as agreed in writing. Scaleup Infotech may retain ownership of pre-existing tools, reusable code, frameworks, processes, templates, know-how, internal libraries, and generic implementation patterns.
6. No Guaranteed Results
Scaleup Infotech works to improve quality, performance, visibility, conversion structure, and marketing execution. However, rankings, traffic, sales, revenue, approvals, platform decisions, ad performance, or business outcomes cannot be guaranteed because they depend on many external factors.
7. Limitation of Liability
To the maximum extent permitted by law, Scaleup Infotech will not be liable for indirect, incidental, consequential, punitive, or special losses including loss of profit, revenue, data, goodwill, business opportunity, or platform access arising from website use or services.
8. Governing Law
These terms are governed by the laws of India. Courts located in Yamunanagar, Haryana will have jurisdiction unless a separate written agreement states otherwise.
